This agreement is the whole process service between you and Leimi and please make sure fully understand the contents of each clause. Leimi refers to Hefei Xunyun Network Technology Co., Ltd. and its affiliated companies; The “Buyer" and "Seller" in this Agreement are both referred to as "you".

　　Before accepting this agreement, please make sure fully understand the terms and conditions. Your continued follow-up actions shall be deemed to be your full acceptance of the terms of this service. All the terms of this agreement have the same legal validity for you and Leimi.

　　I. Formulation, come into force and scope of the agreement.

　　a. Users confirm this agreement through Leimi or by other means, including but not limited to the use of Leimi domain name service without confirm this agreement, all indicate that users and Leimi have reached agreement and agree to accept all the terms of this agreement.

　　b. This agreement includes the text and all rules, norms, notifications and announcements concerning the services of Leimi that have been published or may be published in the future （hereinafter referred to as "rules"）。 All rules are an integral part of this agreement and have the same legal effect as the text of this agreement.

　　II. Rules of Service

　　a. After the user submits the domain purchase order, Leimi shall communicate with the customer, including but not limited to the basic information of the domain, purchase intention, budget and other matters. After confirming the information, Leimi shall provide the domain purchase service for the user.

　　b. The purchase application submitted by users is only used for purchasing intention submission. Leimi shall contact the domain name owner and negotiate matters related to domai purchasing. If the owner of the domain name is not contacted or the price of the domain name is not agreed, Leimi shall close the transaction without any liability for breach of contract.

　　c. If the price the agreed between the buyer and seller, Leimi shall assist in transferring the domain into the Leimi account designated by the buyer with proper  cooperation of the buyer.

　　d. If the buyer has paid, and the seller cannot continue the transaction due to breach of contract or other irresistible factors, Leimi shall refund the full amount paid by the buyer.

　　e. The body who uses Leimi services must be a natural person with full civil capacity or an entity with legal business qualification; those without civil capacity, organizations with limited civil capacity and without business or specific business qualification shall not use Leimi services.

　　f. In the process of using Leimi services, you must ensure that the information submitted is authentic, legitimate and effective. It is not allowed to impersonate others or maliciously apply for services that mislead other users. In such cases, Leimi has the right to immediately stop providing services, and the relevant users shall bear all the consequences.

　　g. Leimi shall transfer the domain name to the Leimi account designated by the buyer, which shall be the end of the transaction when the transfer is successful. After the transaction, the buyer can carry out domain name transfer, renewal, sale and other operations and Leimi does not take any responsibilities for any problems arising from the domain name.

　　III. Rights and Obligations of Buyers

　　a. You shall understand and agree that the identification materials provided are authentic, legal and effective. All legal liabilities and economic losses caused by the false information shall be borne by you.

　　b. You shall understand and agree that entrusting Leimi to purchase domain names means that you voluntarily take all the risks that may arise therefrom. Leimi does not bear any responsibility for this.

　　c. You shall understand and agree that Leimi should be provided with such information as Leimi deems necessary,and Leimi is free from third-party litigation, claims or other forms of damage or compensation arising from the transaction between the two parties.

　　d. You shall understand and agree that the service is determined by the buyer and seller,. Leimi does not make any form of commitment to the transactions of both parties.

　　e. When you reques invoice, the seller shall negotiate to solve the problem. Leimishall issue the invoice to the party who actually pays the transaction fee.

　　f. After the successful transfer of domain name, you may retain the domain name on Leimi or transfer it to other account you designate, which must comply with the relevant provisions of the domain name management agency and Leimi.

　　g. You shall understand and agree that before you apply for this service or after the end of this service, Leimi shall not bear any losses arising from the possession, transfer and use of this domain name; at the same time, you are obliged to protect Leimi from the losses caused by any lawsuits, claims arising from the possession or use of this domain name.

　　V. Rights and Obligations of Leimi

　　a. Leimi provides brokerage services, including but not limited to purchasing, and is obliged to assist you in handling this matter.

　　b. Leimi has the right to delegate the domain name of the entrusted business which has been accepted during the service period.

　　c. Leimi is obliged to make an appropriate evaluation of domain names according to the industry, product brand, enterprise budget and other aspects, but Leimi does not make any commitments or guarantees for the evaluation.

　　d. Leimi provides you with professional service, which is as follows:

　　a. Leimi shall provide one-on-one professional service.

　　b. Leimi shall evaluate the value of domain names and communicate with both parties to facilitate domain name transactions.

　　c. Leimi shall track the whole process and report the progress of the transaction.

　　d. In the process of service, Leimi shall ensure the security of your fund and domain name.

　　VI. Expense Payment

　　a. You shall pay the service fees and related fees on time.

　　b. You shall understand and agree that the commission fee charged by Leimi is limited to the security of domain name and the fund involved in the process. Leimi does not bear any responsibility for the disputes involved after the transfer of domain name.

　　c. You shall understand and agree that Leimi has the right to establish different service charging standards, preferential policies and promotional policies according to market conditions or business needs. Any disputes arising from charging standards adjustment, Leimi does not assume any liability other than that specified by law.

　　VII. Liability for breach of contract.

　　a. You shall understand and agree that during the process, when the buyer has paid for the domain names, if the owner （including but not limited to the seller's price increase, failure to cooperate with domain name transfer and transfer within the prescribed time） fails to make the transaction successfully, Leimi shall refund all the payment paid by the buyer but not be liable for breach of contract.

　　b. You shall understand and agree that during the process, if the buyer maliciously submit the order, misuse of service, Leimi shall have the right to include, but not limited to, stop providing services immediately, blacklist and suspend the services, all the consequences arising therefrom shall be borne by the buyer.

　　c. You shall understand and agree that during the process, no fault-free party or Leimi  shall be held liable if the domain name appears, including but not limited to disputes, complaints, arbitration, lock-in by superior authorities, etc.

　　VIII. Service Use, Change, Interruption and Termination

　　a. You shall understand and agree that Leimi has the right to terminate the service immediately if you violate the terms and conditions of the agreement.

　　b. You shall understand and agree that the delay caused by network failure, server failure or the loss caused to you should not be borne by Leimi Network.

　　c. You shall understand and agree that in the process of services, Leimi has the right to terminate services if it finds that your domain name is disputed or your fund is suspected of being illegally obtained. Consequently, the losses caused to Leimi and third parties shall be borne by you personally.

　　IX. Force Majeure and Other Exemptions

　　a. As your agent, Leimi shall complete the domain name service and not be liable for any lawsuit, claim or other disputes involving third parties arising from the domain name transaction.

　　b. Leimi shall not bear any responsibilities for the failure of domain name transactions caused by national laws, government acts or regulations or acts of domain name management agencies.

　　c. Leimi accepts your delegation to purchase overseas domain names. In this process, it may encounter risks brought by network information or other user behavior. Leimi shall not bear any joint liabilities for breaches of contract that may occur in the course of trading.

　　d. Leimi accepts your entrustment to provide services to ensure the legality and validity of the transaction process; however, Leimi can not foresee the transaction risks at any time （including but not limited to: the real and effective information of domain name holders, the disputes of domain name itself, etc.） which may cause losses to you, Leimi shall not assume responsibility.

　　e. Leimi shall do its utmost to provide you with services to ensure consistency and security of services; however, Leimi can not foresee and prevent legal, technical risks , service interruption, data loss and other losses and risks caused by, including, but not limited to, force majeure, viruses, Trojans, hacker attacks, system instability, defects in third-party services, government actions, etc.

　　f. You shall understand and agree that in the process of the service, there may be risk factors such as force majeure interrupting this service, which refers to the objective events that cannot be foreseen, overcome, avoided and have a significant impact on one or both sides, including but not limited to natural disasters such as floods, earthquakes, epidemics and storms, as well as social events such as war, turmoil, government behavior, etc. When the above situation occurs, Leimi shall try to cooperate with the relevant units in the first time and not bear any responsibilities.

　　X. Application of Law and Others

　　a. The laws of the People's Republic of China shall apply to the establishment, entry into force, implementation, interpretation and dispute settlement of this agreement.

　　b. Any disputes arising between you and Leimi shall be settled through friendly consultation first. If it fails, you shall agree to submit the disputes to the people's court in Shushan District, Hefei City, Anhui Province, which is signed in this agreement.

　　c. Whatever the reasons, the provisions of this agreement are partially invalid or unenforceable, the remaining provisions are still valid for both parties.
